Terms of Service

1. Acceptance and eligibility

By accessing or using Worqgrid, you agree to these Terms. You must be at least 18 to use Worqgrid and legally able to enter a binding contract. If you are using Worqgrid on behalf of an organization, you represent that you have authority to bind that organization. The "Customer" is the organization that subscribes to Worqgrid.

2. Worqgrid is self-service

Worqgrid provides software, a workspace, an annotation studio, payout tooling. We do not perform annotation work, do not run projects on behalf of Customers, and do not vet annotators' rubric-specific competence. The Customer is responsible for project scope, guidelines, calibration, review, and acceptance of work product.

3. Account responsibilities

You're responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity under your account. Tell us promptly at security@worqgrid.com if you suspect unauthorized access. You won't share credentials, attempt to access another user's account, or circumvent access controls, rate limits, or tenant boundaries.

4. Subscription and fees

Worqgrid is billed as a flat monthly subscription per organization. We do not charge a percentage of contributor payouts and we do not charge per-task or per-item fees. Subscription terms, plan limits, and renewal cadence are described on the order form. Fees are non-refundable except as required by law or stated on the order form; we may suspend access for a Customer account that's materially overdue on payment, with notice.

5. Payouts and custody

Payouts to annotators are sent from a Safe multisig wallet controlled by the Customer to wallet addresses provided by annotators, on Solana or Ethereum. Worqgrid does not hold the keys to that wallet, does not custody funds, and is not a money transmitter or financial institution. The Customer is responsible for funding the treasury and for the legal characterization of the payments it makes. Blockchain transactions are irreversible once confirmed, and network fees, congestion, or an incorrectly entered wallet address are outside Worqgrid's control.

6. Sanctions compliance

The Customer is responsible for compliance with applicable sanctions and export-control laws when inviting annotators and disbursing payouts. The Customer must not knowingly invite or pay any individual or entity on a sanctions list, or located in a sanctioned jurisdiction. Worqgrid does not currently perform automated sanctions screening or geo blocking on the Customer's behalf; if and when we add such controls, we will describe them in our documentation and update these Terms.

7. Acceptable use

You agree not to:

• Use Worqgrid for any illegal purpose, or to infringe another party's intellectual property or privacy rights.
• Upload or process content you don't have the right to process, or harass, threaten, or discriminate against any person.
• Post a job listing, or evaluate an applicant, in a way that violates fair-hiring or anti-discrimination law.
• Attempt to reverse-engineer, scrape, or gain unauthorized access to Worqgrid or another tenant's data.
• Interfere with the service's normal operation, for example through excessive automated requests or attempts to bypass usage limits.

We may suspend access for material breach with notice where reasonable, or immediately where the breach creates legal, security, or safety risk.

8. Customer data & IP

As between the parties, Customer owns the data it uploads, the labels produced under its projects, and any work product. Worqgrid receives a limited license to host and process that data solely to operate the service. If you send us feedback or suggestions about Worqgrid, we may use them without obligation to you.

9. Public job postings and applications

A Customer may publish a job posting through Worqgrid that's visible to the public at a shareable link. The Customer is responsible for the accuracy and legality of its listing. Applicant information submitted through that listing, name, email, cover letter, and answers, is shared with the posting Customer for hiring purposes and is subject to the Customer's own hiring practices; Worqgrid doesn't screen or endorse listings or applicants.

10. Confidentiality

Each party will protect the other's confidential information using reasonable care. Worqgrid binds annotators to platform-level NDAs at network onboarding, but project-specific confidentiality is the Customer's to manage.

11. No monitoring; disputes between users

Worqgrid doesn't actively monitor communications or work product exchanged between Customers and annotators, and isn't a party to the working relationship between them. If a dispute arises between a Customer and an annotator, for example over payment, work quality, or termination, it's between those parties; we're not responsible for resolving it, though we may assist if asked and able to.

12. Disclaimers and liability

The service is provided "as is". Worqgrid disclaims implied warranties to the maximum extent permitted by law. Aggregate liability is capped at fees paid in the 12 months preceding the claim.

13. Force majeure

Neither party is liable for delay or failure to perform caused by events outside its reasonable control, including outages of a Solana or Ethereum network, cloud infrastructure, or internet service providers we depend on.

14. Indemnification

You'll defend and indemnify Worqgrid against third-party claims arising from your content, your use of the service in violation of these Terms, or your violation of applicable law.

15. Termination

Either party may terminate for convenience at the end of the then-current subscription term. We may suspend or terminate access immediately for material breach, non-payment, or conduct that creates legal or security risk. On termination, your right to access the service ends; Sections 8 (Customer data & IP), 10 (Confidentiality), 12 (Disclaimers and liability), and 14 (Indemnification) survive.

16. Intellectual property & infringement reports

Worqgrid and its licensors own the platform, including its software, design, and trademarks; these Terms grant no rights to them beyond using the service as intended. If you believe content on Worqgrid infringes your intellectual property, contact legal@worqgrid.com with enough detail to identify the material and your rights in it.

17. Arbitration and class action waiver

If you're an individual annotator (not a Customer organization), you and Worqgrid agree to resolve disputes arising from these Terms through binding, individual arbitration rather than in court, except either party may bring an individual claim in small-claims court. There's no right or authority for any dispute to be brought as a class, consolidated, or representative action. You may opt out of this section by emailing legal@worqgrid.com within 30 days of first accepting these Terms; opting out doesn't affect any other part of these Terms.

18. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Disputes not subject to Section 17 will be brought in the state or federal courts located in New York County, New York, and each party consents to jurisdiction there.

19. Changes

We may update these Terms; we will give reasonable notice for material changes. Continued use after the effective date means you accept the updated Terms.

20. Miscellaneous

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with any order form and referenced policies, are the entire agreement between you and Worqgrid regarding the service and supersede prior agreements on the same subject.
