Terms of Service

1. Acceptance

By accessing or using Worqgrid, you agree to these Terms. If you are using Worqgrid on behalf of an organization, you represent that you have authority to bind that organization. The "Customer" is the organization that subscribes to Worqgrid.

2. Worqgrid is self-service

Worqgrid provides software, a workspace, an annotation studio, payout tooling. We do not perform labeling work, do not run projects on behalf of Customers, and do not vet labelers' rubric-specific competence. The Customer is responsible for project scope, guidelines, calibration, review, and acceptance of work product.

3. Subscription and fees

Worqgrid is billed as a flat monthly subscription per organization. We do not charge a percentage of contributor payouts and we do not charge per-task or per-item fees. Subscription terms, plan limits, and renewal cadence are described on the order form.

4. Payouts and custody

Payouts to labelers are sent from a Safe multisig wallet controlled by the Customer to wallet addresses provided by labelers, on Solana or Ethereum. Worqgrid does not hold the keys to that wallet, does not custody funds, and is not a money transmitter or financial institution. The Customer is responsible for funding the treasury and for the legal characterization of the payments it makes.

5. Sanctions compliance

The Customer is responsible for compliance with applicable sanctions and export-control laws when inviting labelers and disbursing payouts. The Customer must not knowingly invite or pay any individual or entity on a sanctions list, or located in a sanctioned jurisdiction. Worqgrid does not currently perform automated sanctions screening or geo blocking on the Customer's behalf; if and when we add such controls, we will describe them in our documentation and update these Terms.

6. Acceptable use

You agree not to use Worqgrid to conduct illegal activity, infringe IP, harass any person, or process content that you do not have the right to process. We may suspend access for material breach with notice where reasonable.

7. Customer data & IP

As between the parties, Customer owns the data it uploads, the labels produced under its projects, and any work product. Worqgrid receives a limited license to host and process that data solely to operate the service.

8. Confidentiality

Each party will protect the other's confidential information using reasonable care. Worqgrid binds labelers to platform-level NDAs at network onboarding, but project-specific confidentiality is the Customer's to manage.

9. Disclaimers and liability

The service is provided "as is". Worqgrid disclaims implied warranties to the maximum extent permitted by law. Aggregate liability is capped at fees paid in the 12 months preceding the claim.

10. Changes

We may update these Terms; we will give reasonable notice for material changes. Continued use after the effective date means you accept the updated Terms.
